This department assists clients in negotiating and drafting all types of commercial contracts. The members of this department are comfortable and conversant with all kind of contractual arrangements such as non-disclosure and secrecy, licensing, distribution, outsourcing, agency and franchising, leasing and factoring, sales and commercial leases. This department is uniquely qualified to negotiate and prepare highly specialized contractual documents.

This department has a reputation for its representation of major private companies on all aspects of corporate activity, including mergers and acquisition, joint ventures, management buy-outs, etc. as well as providing specialist support in areas such as pensions and employee benefits. This department also advises on securities offerings, on disclosure and corporate governance matters, on corporate and securities regulatory issues and transactional structuring. This practice is actively involved in creating and developing sophisticated corporate structures and financial instruments.

banking and finance

This department advises on all aspects of commercial banking and lending business. The department supports borrowers, lenders, issuers, lead managers and trustees on debt, syndicated lending, trade finance, and structured asset and project finance. Our banking and projects experience, combined with strengths in areas such as outsourcing, construction, property development, facilities management and utilities, has put us firmly at the forefront of this field.

Litigation

All counsel in the firm is involved in litigation, handling a diverse range of commercial and personal disputes. The firm has handled tax matters that have been litigated upon in this jurisdiction, right up to the Court of Appeal.

The Firm handles a wide variety of domestic and international commercial disputes relating to construction, defamation, employment, financial and corporate matters, insolvency, insurance, etc. Our litigation department has substantial experience in a wide variety of business and commercial litigation and arbitration including in sectors such as infrastructure, banking and financial institutions, construction, communications and insurance.

Energy, Oil & Gas

The firm has considerable institutional knowledge of the oil & gas industry, in both the upstream and downstream sectors. It renders advice on areas including but not limited to the following: the operation of concessions, assignment of existing rights, acquisition and exploitation of oil licences. KW KAPINGA & PARTNERS is actively involved in handling applications for trademarks and patents, including contentious and non-contentious work, such as licensing and franchising, trademark infringement, passing off and opposition proceedings, copyright and design right, confidential information disputes and protection. In addition, the Firm has, since its inception, provided services to commercial and private clients in a wide variety of transactions involving real property. The services include conveyance, mortgages of land, leases and title opinions and title actions.

Information & Communications Technology

The firm has advised and produced numerous papers in the information and communications technology sector. It has also been involved with facility management and outsourcing contracts in the computer industry.

Business Regulatory Services

The firm’s Business Advisory Services encompass a company secretarial arm. This provides company secretarial and nominee services to several private companies. These include proffering advice on all forms of business issues including but not limited to registration of   private and public companies, flotation of public companies on the Dar Es Salaam Stock Exchange, procurement of business permits, participation of foreign nationals in a local company, applications for capital importation, stock exchange listing, public offer of shares, joint ventures, mergers and acquisitions, and various forms of arrangements.

Immigration

This largely involves the filing and procurement of work permits, expatriate residents permit and national identification cards on behalf of clients. 

Business Advisory Services

These services include Taxation, Immigration, Information & Communications Technology and             Intellectual Property. They vary: from the procurement of government permits to the filing of statutory documents at government regulatory departments.

Maritime and Aviation

The firm advises on the registration of Ships and aircrafts, financing of vessel acquisition and             securitisation; it has also prepared and reviewed several agreements on behalf of clients, including but not limited to wet leases, charter party agreements, ship mortgages, aircraft mortgages, loan and security agreements and air operating licences.
